Welcome to ToolLab ("we", "our", or "us"), available at https://toollab.in. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and ToolLab regarding your access to and use of our website, software, and web-based productivity tools.

1. Acceptance of Terms

By accessing, browsing, or using ToolLab, you acknowledge that you have read, understood, and agreed to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to all terms and conditions set forth herein, you must immediately discontinue use of the website and all associated tools.

2. Description of Service & Client-Side Architecture

ToolLab offers free, web-based tools designed primarily for e-commerce merchants, marketplace sellers, and business professionals. These include shipping label croppers (for Flipkart, Amazon, Meesho, and 3PL couriers), PDF mergers, splitters, page organizers, watermarking utilities, image converters, image compressors, QR generators, and general business calculators.

Client-Side Execution: ToolLab is architected to perform document operations, PDF rendering, and graphic compression locally inside your web browser. We do not upload your files, shipping manifests, customer records, or images to our backend servers.

3. User Responsibilities & Seller Output Verification

While our tools are engineered to deliver high precision and follow industry standard thermal label layouts (e.g., 4×6 inch formats):

  • Mandatory Pre-Shipment Verification: You are solely responsible for inspecting, testing, and verifying any generated shipping labels, barcodes, QR codes, cropped documents, invoices, or resized images before submitting them to courier partners (such as Delhivery, Blue Dart, Ecom Express, Shadowfax, Xpressbees, India Post, Amazon Easy Ship, or Flipkart ATS).
  • Barcode and Address Scannability: You must ensure that your thermal printer settings, print resolution, and label scaling produce scannable 1D/2D barcodes and readable delivery addresses. ToolLab assumes zero responsibility for barcode scanning failures, package rejections, return-to-origin (RTO) charges, courier penalties, or delivery delays.
  • Financial Calculations: Output produced by business calculators (e.g., product pricing, profit margins, GST estimates) is provided for educational and estimation purposes only. You must independently confirm all financial, tax, and regulatory calculations with a qualified chartered accountant or financial advisor.

4. Permitted Use & Intellectual Property License

We grant you a non-exclusive, non-transferable, revocable, worldwide license to use the tools available on ToolLab for both personal and commercial business purposes (including processing labels for orders placed in your online stores).

However, you explicitly agree that you shall NOT:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any script or binary on ToolLab;
  • Use any automated scraping tool, bot, crawler, spider, or script to harvest data or generate excessive automated load on our web infrastructure;
  • Frame, mirror, wrap, or embed ToolLab within an iframe or third-party application without express prior written consent;
  • Sell, license, rent, sub-license, white-label, or redistribute ToolLab’s tools or services for commercial gain as a competing service;
  • Circumvent, disable, or tamper with security-related features, rate limiters, or Content Security Policies of the website;
  • Use the tools for any unlawful, infringing, fraudulent, defamatory, or malicious purpose.

5. Analytics, Telemetry & Third-Party Services

To monitor application health, detect runtime browser errors, analyze traffic trends, and optimize user experience, ToolLab integrates third-party telemetry tools, including:

  • Google Tag Manager & Google Analytics 4: Collects anonymous session statistics, page views, geographic demographics, and user journeys.
  • Microsoft Clarity: Captures user interaction metrics, heatmaps, scroll behavior, and session replays. By using our website, you agree that website usage data is captured using first and third-party cookies and other tracking technologies for analytics, site optimization, and fraud prevention as detailed in our Privacy Policy.

All third-party analytics operate in accordance with strict data-masking practices. Your confidential document contents and private label data are processed locally and are not transmitted to these analytics platforms.

6. Third-Party Trademarks Disclaimer

"Flipkart", "Amazon", "Meesho", "Delhivery", "Blue Dart", "Ecom Express", "Shadowfax", "Xpressbees", and other company, brand, or service names referenced on this website are registered trademarks or service marks of their respective owners.

ToolLab is an independent software utility provider and is not affiliated with, endorsed by, sponsored by, or officially connected with Flipkart Internet Private Limited, Amazon.com, Inc., Fashnear Technologies Private Limited (Meesho), or any other marketplace or courier service. All references to third-party marketplaces are made purely for descriptive identification and compatibility purposes.

7. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, TOOLS, AND CONTENT ON TOOLLAB ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TOOLLAB DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TOOLLAB, ITS FOUNDERS, EMPLOYEES, CONTRIBUTORS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, sales, revenue, goodwill, or business opportunities;
  • Courier rejection charges, shipping carrier fines, late delivery fees, or RTO penalties;
  • Damage resulting from misprinted labels, corrupted PDF downloads, or incorrect financial calculations;
  • Loss of data, business interruption, or device malfunctions;
  • Any unauthorized access to or alteration of your transmissions or data.

9. Indemnification

You agree to defend, indemnify, and hold harmless ToolLab, its operators, affiliates, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of ToolLab's services.

10. Modifications to Service & Terms

We reserve the right to modify, suspend, or discontinue any tool or feature on ToolLab at any time, temporarily or permanently, with or without prior notice. We may also amend these Terms of Service periodically. When revisions are published, the "Last updated" date at the top of this page will be revised. Your continued use of the website following any changes signifies your acceptance of the updated Terms.

11. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any dispute or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.
